oda_ExplanationTextBlock| | Şirketimiz Yönetim Kurulu'nun 16.06.2026 tarihli ve 211 sayılı kararı ile; Elektrik Piyasasında Lisanssız Elektrik Üretim Yönetmeliği'nin 5. maddesi (1-h) kapsamında gerçekleştirilen 50 MWe'lik lisanssız üretim başvurusu ve bu kapsamda Sinoma Overseas Development Co. Ltd. ile yürütülen Mühendislik, Tedarik ve Kurulum (EPC) sözleşme müzakerelerine ilişkin içsel bilginin, Sermaye Piyasası Kurulu'nun II-15.1 sayılı Özel Durumlar Tebliği'nin 6. maddesi uyarınca kamuya açıklanmasının ertelenmesine karar verilmişti. Söz konusu erteleme kararı; yatırım planına ilişkin süreçlerin henüz tamamlanmamış olması, bu aşamada yapılacak bir açıklamanın paydaşlarımızla olan ilişkilerde tereddüt ve belirsizliklere yol açma ihtimali, pay değerinde dalgalanma yaratma riski ve çalışmaların olumsuz sonuçlanması halinde yatırımcıların mağdur olma olasılığı göz önünde bulundurularak, Şirketimizin meşru çıkarlarının korunması amacıyla alınmıştı. Yukarıda belirtilen erteleme sebeplerine esas teşkil eden koşullar ortadan kalkmış olup, Sinoma Overseas Development Co. Ltd. ile yürütülen EPC sözleşme müzakereleri olumlu bir seyir izlemekte olup sözleşmelerin imza aşamasına geçilmesi için gerekli çalışmalar yapılmaktadır. İlgili süreçlere ilişkin gelişmeler, mevzuat çerçevesinde kamuoyu ile paylaşılmaya devam edecektir. Sayın yatırımcılarımızın ve kamunun bilgilerine arz olunur. | Pursuant to the resolution of our Board of Directors dated 16.06.2026 and numbered 211, it was resolved to delay the public disclosure of inside information relating to the 50 MWe unlicensed power generation application filed under Article 5(1-h) of the Regulation on Unlicensed Electricity Generation in the Electricity Market and the ongoing Engineering, Procurement and Construction (EPC) contract negotiations with Sinoma Overseas Development Co. Ltd., in accordance with Article 6 of the Capital Markets Board Communiqué No. II-15.1 on Material Events ("Delayed Disclosure of Inside Information"). The aforementioned delay was based on the consideration that the investment planning processes had not yet been completed, that a premature disclosure at that stage could give rise to uncertainty in our relations with stakeholders, that it could cause volatility in the share price, and that investors could be adversely affected in the event the ongoing efforts were to yield an unfavorable outcome. The delay was accordingly resolved in order to protect the legitimate interests of the Company. The circumstances underlying the reasons for the postponement set out above have ceased to exist, and the EPC contract negotiations with Sinoma Overseas Development Co. Ltd. are progressing positively. The necessary steps are being taken to proceed to the execution stage of the contracts. Developments regarding the relevant processes will continue to be disclosed to the public in accordance with the applicable legislation.
