(BARMA) representing 3.72% of the Company's capital and held in the portfolio of the VPS- Vega Portföy Salur Hisse Senedi Serbest (TL) Fon (Hisse Yoğun Fon), which is founded and managed by Vega Portföy Yönetimi A.Ş. are to be sold on the Wholesale Buy-Sell Market at Borsa İstanbul A.Ş.; the buyer will be Vega Portföy Yönetimi A.Ş., acting on behalf of Armadillo Holding A.Ş.

A price of TL 24.60 has been determined for the purchase and sale transaction involving a total of 9,758,000 (ninemillionsevenhundredfiftyeightthousand) shares (each with a nominal value of TL 1) to be executed through our company, in accordance with Article 7.1 of Borsa İstanbul A.Ş.'s "Procedure Regarding Wholesale Buy-Sell Transactions" (The Procedure). The shares subject to the transaction are publicly traded on the Exchange.

An application was submitted to Borsa İstanbul A.Ş. today (07.08.2026) to carry out the transaction under the Procedure, and the transaction is scheduled to take place on 11.08.2026. The settlement of the transaction will be conducted within the Equity Market settlement process.

There are no encumbrances such as pledges, liens, collateral, etc. on the shares subject to the sale that would prevent their transfer or sale.
